Freezone vs. Mainland: The Decision That Shapes Everything

Most people choose based on cost or convenience. The right decision is based on what your business actually does and who your clients are — and getting it wrong means restructuring later at significant cost.

The fundamental difference

A Freezone company operates within a designated economic zone with its own regulator. It offers 100% foreign ownership, zero corporate tax on qualifying income, and simplified setup. The constraint: you cannot sell directly to the UAE mainland market without a local distributor or a separate Mainland entity.

A Mainland LLC operates under the Dubai Department of Economy and Tourism (DET). Since 2021, 100% foreign ownership is permitted for most business activities — the old requirement for a local sponsor is largely gone. Mainland gives you full access to the UAE domestic market and the ability to bid for government contracts.

The four questions that determine your choice

1. Are your clients in the UAE or outside? If 90%+ of revenue comes from outside UAE, Freezone is almost always correct. If you are selling to UAE businesses or consumers, you need Mainland access.

2. Do you need a physical office visible to UAE clients? Freezone flexi-desk arrangements are not always sufficient for building UAE client trust. Mainland companies can rent any office.

3. Are you a solo consultant or building a team? Freezone visa allocations are limited by licence type. A IFZA licence might allow 3 visas. DMCC allows more. Mainland has no fixed cap tied to office size (above a minimum).

4. Do you need UAE VAT registration? Mandatory above AED 375,000 annual revenue. Freezone companies can register voluntarily. Mainland companies often must register to invoice UAE clients cleanly.

The recommendation for most founders

IFZA or DMCC Freezone for consulting, digital, or SaaS businesses with international clients. Mainland LLC only if you are actively selling to UAE-based customers or need UAE government tenders. Do not start with Mainland if you do not need it — the administrative overhead is meaningfully higher.

What this costs in practice

Freezone total first-year cost (licence + visa + flexi-desk): AED 15,000–30,000 depending on Freezone. Mainland total first-year cost: AED 25,000–50,000 including DET licence, office lease, and PRO services. Neither figure includes accountancy, bank account fees, or visa medical costs.
